Membership Terms and Conditions
ARTDAG Group (hereinafter referred to as "ARTDAG"), consisting of its subsidiaries and affiliates, wishes to provide customers with the most suitable and unique services. Therefore, to facilitate easy access to ARTDAG's global services, we offer a common ID program (hereinafter referred to as "ARTDAG ID") with a single login function. Customers can create an account (hereinafter referred to as "Account") and use membership services in accordance with the ARTDAG Membership Terms and Conditions (hereinafter referred to as "Terms") established by ARTDAG. Please note that some services available with an ARTDAG ID may require additional registration procedures. In such cases, please review the terms of use and other information separately presented when using the service and complete the additional registration procedures.
Article 1 (ARTDAG Members)
Customers can use the membership services in accordance with the conditions set by ARTDAG. Customers can also use various services provided by ARTDAG through their account, but some of these services may require registration of separately specified matters, and customers must also agree to the terms of use of the relevant service in advance.
Membership services include incentive programs such as points or loyalty programs. The content and terms of use of such programs shall be as set forth in the terms and conditions separately established by ARTDAG.
Article 2 (Member Registration)
By agreeing to these terms and completing the required registration procedures, a contract (hereinafter referred to as "this contract") containing the provisions of these terms will be concluded between you and ARTDAG, and you will be eligible to become a member. The membership registration procedure must be completed by the person who will become a member. A customer who has obtained membership status in accordance with this article will be referred to as a "member" hereinafter.
ARTDAG may refuse membership applications from individuals whose membership has been revoked in the past or who ARTDAG deems unsuitable for membership.
When registering, please carefully read the input instructions and enter the required information into the designated form. Please register with true and accurate information. ARTDAG shall not be liable for any damages incurred by customers due to false, incorrect, or missing information, unless the damages are attributable to ARTDAG.
Article 3 (ID and password management)
Members are responsible for managing their account IDs and passwords, including changing them regularly to prevent them from being known to others. ARTDAG will provide member services as if the account was used by a member if it is confirmed by a prescribed method that the ID and password combination entered or used matches the ID and password registered by the member. ARTDAG will not be liable for any damages incurred by a third party other than the member in question, even if the member's account is used by a third party due to theft, fraudulent use, or other circumstances, unless the cause is attributable to ARTDAG.
Article 4 (Transactions using an account)
Transactions (including purchases, offers to purchase, and other expressions of intent regarding transactions) on each service conducted by members using their accounts are conducted directly between the member and the other party to the transaction. ARTDAG is not a party to the transaction except when it is the other party to the transaction, and shall not bear any responsibility regarding the transaction except for reasons attributable to ARTDAG. Therefore, except in such cases, if any trouble occurs during a transaction, it will be resolved between the member and the other party.
Article 5 (Changes to registered information)
If there are any changes to the information registered as a member (hereinafter referred to as "Registered Information"), please promptly update the registered information. ARTDAG shall not be liable for any damages incurred by a member due to failure to update the registered information, except in cases where the failure is attributable to ARTDAG. Furthermore, even if changes are made, transactions that have already been processed before the changes will be carried out based on the information before the changes. If it is necessary to notify the other party to a transaction of changes to the registered information, the member should contact the other party directly.
Article 6 (Notice by ARTDAG)
Notifications from ARTDAG to members regarding membership services will be sent by email to the email address in the most recent registration information, posted on a website operated by ARTDAG, or by other methods that ARTDAG deems appropriate.
Members agree in advance that if ARTDAG notifies them by email, the notification from ARTDAG will be deemed to have been received when ARTDAG sends the email to the email address in the preceding paragraph and the email becomes viewable by the member, or 24 hours after ARTDAG sends the email, whichever comes first, and they will make changes to their registration information in the preceding article.
Article 7 (Handling of Personal Information)
ARTDAG will handle personal information acquired in relation to members' use of membership services appropriately in accordance with ARTDAG's Personal Information Protection Policy (https://www.410gallery.org).
Article 8 (Prohibited matters)
When using the membership service, members shall not engage in any of the acts specified in the following items or any acts that may be deemed to be such acts.
Any act that violates laws, regulations, court judgments, decisions or orders, or legally binding administrative measures.
Actions that harm public order or good morals
Providing benefits to antisocial forces or other acts of cooperation
Actions that infringe the rights, interests, reputation, etc. of 410Gallery, ARTDAG, or third parties.
Impersonating a third party or intentionally sending false information
Unauthorized collection, disclosure, or provision of personal information or other privacy information of third parties
Unauthorized access, use of a third party's account, creation or possession of multiple accounts, or other similar actions
Actions that cause malfunctions of member services
Use, creation, or distribution of external tools that cause the Member Service to take advantage of bugs not normally intended, or that have effects not normally intended.
Actions that place an excessive burden on the member service or ARTDAG server
Sending or distributing harmful programs such as computer viruses to 410Gallery, ARTDAG, or third parties.
Any act that violates these terms and conditions or goes against the purpose of the membership service.
Any other act that ARTDAG reasonably deems inappropriate
Members may not transfer, loan, sell, pledge as collateral, or otherwise dispose of any rights and obligations, including their account and status under this Agreement, to a third party.
Article 9 (Suspension of use, cancellation of membership, etc.)
If ARTDAG determines that a member falls under any of the following items, it may take measures such as suspending the member's use of the membership services, suspending the member's account, changing the member's ID and password, or canceling the member's membership without prior notice. ARTDAG shall not be liable for any disadvantage or damage caused to the member as a result, unless the cause is attributable to ARTDAG.
If a member violates laws and regulations or these Terms and Conditions.
If a member commits fraudulent acts in relation to the use of member services
When it is necessary to ensure the security of members, such as when there are more than a certain number of incorrect password entries.
Any other reason that ARTDAG reasonably deems inappropriate.
In addition to the preceding paragraph, if a member does not log in a certain number of times within a certain period of time specified by ARTDAG, ARTDAG may take the measures specified in the preceding paragraph without prior notice. The scope of ARTDAG's responsibility in taking such measures shall be the same as that in the preceding paragraph.
Article 10 (Membership withdrawal and termination of this Agreement)
Members may terminate this Agreement at any time by following the withdrawal procedures prescribed by ARTDAG.
Upon termination of this Agreement through the cancellation procedure set forth in the preceding paragraph or for any reason, the Member will immediately be unable to use the Account and the Member Services. All Member rights related to the Member Services at that time will be extinguished, except as otherwise specified by ARTDAG for each Service, and the Member will not be able to make any claims against ARTDAG unless there is a cause attributable to ARTDAG. However, if the Member owed any debt to the ARTDAG Group prior to the termination of this Agreement, such debt will not be extinguished, and the Member shall immediately repay all such debt to the ARTDAG Group upon the termination of this Agreement, except as otherwise specified by ARTDAG for each Service.
Members shall acknowledge in advance that if they complete the cancellation procedure, all accounts associated with their ARTDAG ID provided by ARTDAG will be deleted at the same time, and they may become unable to use member services provided by ARTDAG companies other than 410Gallery. Members shall review the notes and other information before completing the cancellation procedure.
Article 11 (Changes, suspension, termination, etc. of membership services)
ARTDAG may change or add to all or part of the content of the membership service, or terminate the provision of the membership service.
In the case of the preceding paragraph, ARTDAG will provide information to members at an appropriate time and in an appropriate manner, taking into account the impact and the operation status of member services.
ARTDAG may temporarily suspend all or part of the membership services without prior notice to members in the following cases:
To carry out routine or emergency system maintenance or repairs
When the system is overloaded due to excessive access, etc.
When it becomes necessary to ensure the security of members, 410Gallery, ARTDAG, or third parties
When it is difficult to provide member services due to force majeure such as communication line outages, natural disasters, fires, power outages, other unforeseen accidents, war, conflict, unrest, riots, labor disputes, etc.
Any other reason that ARTDAG reasonably determines that suspension is necessary in light of the circumstances surrounding each member service.
ARTDAG shall not be liable for any damages incurred by members due to measures taken by ARTDAG in accordance with this Article, except in cases where such damages are attributable to ARTDAG.
Article 12 (Disclaimer of Warranties and Indemnification)
Members understand and accept that ARTDAG does not guarantee that the incentive programs, content, and all other information provided by ARTDAG through the Membership Service are (1) free from errors, bugs, defects, or security flaws, (2) do not infringe the rights of third parties, have the properties expected by members, or comply with laws and regulations applicable to members, and (3) that the Membership Service is provided on an "as is" basis at the time of provision of the Membership Service, and that they use the Membership Service at their own risk.
ARTDAG does not guarantee the authenticity, accuracy, recency, usefulness, reliability, legality, or non-infringement of third party rights of the content of the services available through a member's account.
In the event that ARTDAG is liable to a member in relation to the member's use of the membership services, ARTDAG will only compensate for ordinary and direct damages actually incurred by the member, except in cases where such damages are due to ARTDAG's willful misconduct or gross negligence, and will not be liable for damages arising from special circumstances (including cases where the occurrence of such damages was foreseeable or could have been foreseen).
Article 13 (Revision of these Terms and Conditions)
ARTDAG may amend these Terms and Conditions at any time and may add additional provisions, conditions, etc. In this case, ARTDAG will inform members at an appropriate time and in an appropriate manner, taking into account the impact of such amendments and the operational status of the member services.
ARTDAG may transfer the business related to the member service to a third party or have it succeeded through a merger or company split, etc., and may have the status, rights, and obligations under this Agreement succeeded to the transferee, etc. Members shall consent to such transfer, etc. in advance.
Article 14 (Governing Law, Jurisdiction)
These Terms and Conditions shall be construed in accordance with the laws of Japan, and in the event of litigation arising out of these Terms and Conditions, the Tokyo District Court or the Tokyo Summary Court shall be the exclusive court of first instance.
