​ARTDAGグループ（以下「ARTDAG」といいます。）、その子会社、および関連会社で構成されるARTDAG（以下「ARTDAG」といいます。）は、お客様に最適でユニークなサービスを提供したいと考えており、グローバルに展開するARTDAGのサービスに容易にアクセスしていただけるように、シングル・ログイン機能を含む共通IDプログラム（以下「ARTDAG ID」といいます。）を提供しています。お客様は、ARTDAGが定めるARTDAG会員規約（以下「本規約」といいます。）に基づいてアカウント（以下「アカウント」といいます。）を作成し、会員サービスをご利用いただくことができます。なお、ARTDAG IDにてご利用いただけるサービスには、追加のご登録手続きが必要となるものがございます。そのような場合には、当該サービスのご利用時に別途提示される利用規約等をご確認いただき、追加のご登録手続きをお願いいたします。

ARTDAG Group (hereinafter referred to as "ARTDAG"), consisting of its subsidiaries and affiliates, wishes to provide customers with the most suitable and unique services, and provides a common ID program (hereinafter referred to as "ARTDAG ID") including a single login function to allow easy access to ARTDAG's global services. Customers can create an account (hereinafter referred to as "Account") and use the membership services in accordance with the ARTDAG Membership Terms and Conditions (hereinafter referred to as "These Terms and Conditions") established by ARTDAG. Please note that some services available with ARTDAG ID require additional registration procedures. In such cases, please check the terms of use, etc. separately presented when using the service and complete the additional registration procedures.

第１条（ARTDAG会員）

1. お客様は、ARTDAGが定める条件に従い、会員サービスを利用することができます。なお、お客様は、アカウントを通じて、ARTDAGが提供する各種サービスを利用することができますが、当該サービスの中には別途定める事項の登録を要する場合があり、また、あらかじめ当該サービスの利用規約等に同意していただく必要があります。

2. 会員サービスには、ポイント等のインセンティブプログラムまたはロイヤルティプログラムが含まれます。当該プログラムの内容および利用条件については、ARTDAGが別途定める規約等に定めるとおりとします。

Article 1 (ARTDAG Membership)

Customers may use the membership services in accordance with the conditions set by ARTDAG. Customers may use various services provided by ARTDAG through their account, but some of these services may require registration of separately specified items and prior consent to the terms of use of the relevant service.

Membership services include incentive programs such as points or loyalty programs. The content and terms of use of such programs shall be as set forth in the separately specified terms and conditions set forth by ARTDAG.

第２条（会員登録）

1. 本規約に同意のうえ所定の登録手続きを完了すると、お客様とARTDAGとの間で本規約の定めを内容とする契約（以下「本契約」といいます。）が成立し、会員としての資格を得ることができます。会員登録手続きは、会員となるご本人が行ってください。本条に基づいて、会員資格を得たお客様のことを、以下「会員」といいます。

2. ARTDAGは、過去に会員資格が取り消された方やその他ARTDAGがふさわしくないと判断した方からの会員申込についてはお断りする場合があります。

3. 登録手続きの際には、入力上の注意をよくご確認いただき、所定のフォームに必要事項を入力してください。ご登録は真実かつ正確な情報をもって行ってください。ARTDAGは、当該情報に虚偽、誤り、または記入漏れがあったことによりお客様に損害が生じたとしても、ARTDAGの責めに帰すべき事由がある場合を除き、責任を負わないものとします。

Article 2 (Membership Registration)

By agreeing to these terms and completing the registration procedure, a contract (hereinafter referred to as the "Agreement") containing the provisions of these terms will be concluded between you and ARTDAG, and you will be eligible to become a member. Membership registration procedures must be completed by the person who will become a member. A customer who has obtained membership based on this article will be referred to as a "member" hereinafter.

ARTDAG may refuse membership applications from those whose membership has been revoked in the past or who ARTDAG deems inappropriate.

When registering, please carefully read the input precautions and enter the required information in the designated form. Please register with true and accurate information. ARTDAG shall not be liable for any damages incurred by the customer due to false, incorrect, or missing information, except in cases where ARTDAG is at fault.

第３条（IDおよびパスワードの管理）

アカウントを利用するためのIDおよびパスワードは、他人に知られることがないよう定期的に変更する等、会員本人が責任をもって管理してください。ARTDAGは、入力または利用されたIDおよびパスワードの組合せが会員の登録したものと一致することを所定の方法により確認した場合、会員による利用があったものとして会員サービスを提供するものとします。ARTDAGは、盗用、不正利用その他の事情により会員のアカウントを当該会員以外の第三者が利用している場合であっても、ARTDAGの責めに帰すべき事由がある場合を除き、それにより生じた損害について責任を負わないものとします。

第４条（アカウントを利用した取引）

会員がアカウントを利用して行う、各サービス上での取引（商品またはサービスの購入、購入の申込、およびその他の取引に関する意思表示を含みます。以下同じ。）は、会員とその取引の相手方との間で直接に行われます。ARTDAGは、当該取引について会員の相手方となる場合を除き、取引の当事者とはならず、ARTDAGの責めに帰すべき事由がある場合を除き、取引に関する責任を負わないものとします。したがって、かかる場合を除き、取引に際し万一トラブルが生じた場合には、会員とその相手方との間で解決していただくことになります。

Article 3 (Management of ID and Password)

The member must manage the ID and password used to use the account responsibly, for example by changing them regularly to prevent others from knowing about them. If ARTDAG confirms by a prescribed method that the ID and password combination entered or used matches the ID and password registered by the member, it will provide the member service as if the member had used the account. Even if a third party other than the member uses the account due to theft, unauthorized use, or other circumstances, ARTDAG shall not be liable for any damages caused by such use, unless there is a reason attributable to ARTDAG.

第５条（登録情報の変更）

会員として登録した情報（以下「登録情報」といいます。）に変更が生じた場合は、速やかに登録情報の変更をお願いいたします。登録情報の変更がなされなかったことにより会員に生じた損害について、ARTDAGは、ARTDAGの責めに帰すべき事由がある場合を除き、責任を負わないものとします。また、変更がなされた場合でも、変更前にすでに手続きがなされた取引は、変更前の情報に基づいて行われます。登録情報の変更内容を当該取引の相手方に通知する必要がある場合には、会員より当該相手方に直接ご連絡下さい。

Article 5 (Changes to registered information)

If any changes occur to the information registered as a member (hereinafter referred to as "Registered Information"), please change the registered information immediately. ARTDAG shall not be liable for any damages incurred by a member due to failure to change the registered information, except in cases where such failure is attributable to ARTDAG. Even if changes are made, transactions that have already been processed before the change will be carried out based on the information before the change. If it is necessary to notify the other party to the transaction of the changes to the registered information, the member should contact the other party directly.

第６条（ARTDAGによるお知らせ）

1. 会員サービスに関するARTDAGから会員への通知等は、最新の登録情報におけるメールアドレス宛てへのメールの送信、ARTDAGが運営するウェブサイト上への掲示、または、その他ARTDAGが適当と判断する方法によって行います。

2. 会員は、ARTDAGがメールの送信による通知を行った場合、前項のメールアドレス宛てにARTDAGがメールを送信し会員が当該メールを閲覧可能になった時またはARTDAGがメールを送信してから24時間後のいずれか早い時点にARTDAGからの通知が到達したとみなされることに、あらかじめ同意し、前条の登録情報の変更を行うものとします。

Article 6 (Notices from ARTDAG) will notify members regarding membership services by sending emails to the email address in the latest registration information, posting notices on a website operated by ARTDAG, or by other methods that ARTDAG deems appropriate.

Members agree in advance that when ARTDAG notifies members by email, the notification from ARTDAG will be deemed to have been received when ARTDAG sends the email to the email address in the previous paragraph and the member is able to view the email, or 24 hours after ARTDAG sends the email, whichever comes first, and they will make changes to their registration information in the previous article.

第８条（禁止事項）

1. 会員サービスの利用に際して、会員は、以下の各号に定める行為またはそのおそれのある行為を行ってはならないものとします。

   1. 法令、裁判所の判決、決定もしくは命令、または法令上拘束力のある行政措置に違反する行為

   2. 公の秩序または善良の風俗を害する行為

   3. 反社会的勢力に対する利益供与その他の協力行為

   4. 410Gallery、ARTDAG、または第三者の権利、利益、名誉等を侵害する行為

   5. 第三者になりすます行為または意図的に虚偽の情報を送信する行為

   6. 第三者の個人情報その他のプライバシーに関する情報を不正に収集、開示、または提供する行為

   7. 不正アクセス行為、第三者のアカウントを利用する行為、複数のアカウントを作成しまたは保有する行為、その他これらに類する行為

   8. 会員サービスの誤作動を誘引する行為

   9. 会員サービスが通常意図しないバグを利用する動作を生じさせ、または、通常意図しない効果を及ぼす外部ツールの利用、作成、または頒布を行う行為

   10. 会員サービスまたはARTDAGのサーバーに過度の負担をかける行為

   11. コンピュータウイルス等の有害なプログラムを410Gallery、ARTDAGまたは第三者に送信し、または流布する行為

   12. 本規約に違反し、または、会員サービスの趣旨目的に反する行為

   13. その他、ARTDAGが合理的に不適切と判断する行為

2. 会員は、アカウントおよび本契約の地位等の一切の権利および義務を第三者に譲渡、貸与、売却、担保差入およびその他の処分をしてはならないものとします。

Article 8 (Prohibited Acts)

When using the Membership Service, Members shall not engage in any of the following acts or acts that may result in such acts:

Acts that violate laws, regulations, court judgments, decisions or orders, or legally binding administrative measures

Acts that harm public order or good morals

Acts of providing benefits to anti-social forces or other cooperation

Acts that infringe on the rights, interests, reputation, etc. of 410Gallery, ARTDAG, or third parties

Acts of impersonating a third party or intentionally sending false information

Acts of illegally collecting, disclosing, or providing personal information or other privacy information of a third party

Acts of unauthorized access, using a third party's account, creating or holding multiple accounts, or other similar acts

Acts that induce malfunctions of the Membership Service

Member Using, creating, or distributing external tools that cause the service to take advantage of bugs that are not normally intended, or that have normally unintended effects

Putting an excessive burden on the member service or ARTDAG's servers

Sending or distributing harmful programs such as computer viruses to 410Gallery, ARTDAG, or third parties

Any action that violates these terms or goes against the purpose and intent of the member service

Any other action that ARTDAG reasonably deems inappropriate

Members may not transfer, loan, sell, pledge, or otherwise dispose of their accounts and any rights and obligations under this agreement to a third party.

第９条（利用停止、会員資格の取り消し等）

1. ARTDAGは、会員が次の各号のいずれかに該当すると判断した場合には、事前に通知することなく当該会員による会員サービスの利用停止、アカウントの停止、IDおよびパスワードの変更、または当該会員の会員資格の取り消し等の措置を講じることができるものとします。これにより会員に何らかの不利益または損害が生じたとしても、ARTDAGの責めに帰すべき事由がある場合を除き、ARTDAGは責任を負わないものとします。

   1. 会員に法令や本規約に違反する行為があった場合

   2. 会員に会員サービス利用に関して不正行為があった場合

   3. 一定回数以上のパスワードの入力ミスがあるなど会員のセキュリティを確保するために必要な場合

   4. その他、ARTDAGが合理的に不適切と判断した場合

2. 前項のほか、会員がARTDAGの定める一定の期間内に一定回数のログインを行わなかった場合は、ARTDAGは、事前に通知することなく前項所定の措置を講じることができるものとします。措置を講じた場合におけるARTDAGの責任の範囲は前項と同様です。

Article 9 (Suspension of use, cancellation of membership, etc.)

If ARTDAG determines that a member falls under any of the following items, it may take measures such as suspending the member's use of the member service, suspending the member's account, changing the ID and password, or canceling the member's membership without prior notice. Even if this causes any disadvantage or damage to the member, ARTDAG shall not be liable unless there is a reason attributable to ARTDAG.

If a member violates laws and regulations or these terms

If a member commits fraudulent acts in using the member service

If it is necessary to ensure the security of members, such as a certain number of incorrect password entries

Other cases that ARTDAG reasonably deems inappropriate

In addition to the above, if a member does not log in a certain number of times within a certain period specified by ARTDAG, ARTDAG may take the measures specified in the previous paragraph without prior notice. The scope of ARTDAG's responsibility when taking measures is the same as in the previous paragraph.

第１０条（会員の退会および本契約の終了）

1. 会員は、ARTDAG所定の退会手続きにより、いつでも本契約を終了させることができます。

2. 前項退会手続きにより、または、事由のいかんを問わず本契約が終了した場合、会員は、アカウントおよび会員サービスについて、即時に一切利用できなくなります。当該時点において会員サービスに関連して有していた会員の権利は、ARTDAGが各サービスについて別途定める場合を除いて全て消滅し、ARTDAGの責めに帰すべき事由がある場合を除き、会員は、ARTDAGに対して何らの請求を行えません。ただし、本契約終了以前において会員がARTDAGグループに対して債務を負っていた場合、当該債務は消滅せず、会員は、ARTDAGグループが各サービスについて別途定める場合を除き、ARTDAGグループに対して本契約終了後ただちに全ての当該債務について弁済しなければならないものとします。

3. 会員は、退会手続きを行った場合、ARTDAGが提供するARTDAG IDに対応した全てのアカウントが同時に削除され、410Gallery以外のARTDAG会社が提供する会員サービスについても利用できなくなる場合があることを、あらかじめ承諾するものとし、手続きを終了する前に、注意事項等確認のうえで退会するものとします。

Article 10 (Membership Withdrawal and Termination of this Agreement)

A member may terminate this Agreement at any time by following the withdrawal procedures specified by ARTDAG.

In the event of the termination of this Agreement by the withdrawal procedures in the preceding paragraph or for any reason, the member will immediately be unable to use the account and the member services. All rights held by the member in relation to the member services at that time will be extinguished, except as otherwise specified by ARTDAG for each service, and the member will not be able to make any claims against ARTDAG unless there is a reason attributable to ARTDAG. However, if the member had any debt to the ARTDAG Group prior to the termination of this Agreement, such debt will not be extinguished, and the member must repay all such debts to the ARTDAG Group immediately after the termination of this Agreement, except as otherwise specified by ARTDAG for each service.

Members agree in advance that if they complete the cancellation procedure, all accounts provided by ARTDAG that correspond to their ARTDAG ID will be deleted at the same time, and they may become unable to use membership services provided by ARTDAG companies other than 410Gallery. Members should review the precautions and other information before completing the cancellation procedure.

第１１条（会員サービスの変更、中断、終了等）

1. ARTDAGは、会員サービスの内容の全部もしくは一部を変更もしくは追加し、または会員サービスの提供を終了することができるものとします。

2. 前項の場合、ARTDAGは、その影響および会員サービスの運営状況などに照らし、適切な時期および適切な方法により、会員に情報提供を行うものとします。

3. ARTDAGは、以下の各号に定める場合、会員に事前に通知することなく、会員サービスの全部または一部を一時的に中断することができるものとします。

   1. システムのメンテナンスまたは修理を定期的にまたは緊急に行う場合

   2. アクセス過多等によって、システムに負荷が集中した場合

   3. 会員、410Gallery、ARTDAG、または第三者のセキュリティを確保する必要が生じた場合

   4. 通信回線の停止、天災、火災、停電、その他の不慮の事故または戦争、紛争、動乱、暴動、労働争議等の不可抗力により会員サービスの提供が困難な場合

   5. その他ARTDAGが各会員サービスに関する状況に照らして合理的に中断が必要と判断した場合

4. ARTDAGは、ARTDAGが本条に従ってとった措置に起因して会員に生じた損害について、ARTDAGの責めに帰すべき事由がある場合を除き、責任を負わないものとします。

Article 11 (Changes, Suspension, Termination, etc. of Membership Services)

ARTDAG may change or add to all or part of the content of the membership services, or terminate the provision of the membership services.

In the case of the preceding paragraph, ARTDAG will provide information to members at an appropriate time and in an appropriate manner, taking into account the impact and the operation status of the membership services.

ARTDAG may temporarily suspend all or part of the membership services without prior notice to members in the cases specified in the following items.

When regular or emergency system maintenance or repairs are performed

When the system becomes overloaded due to excessive access, etc.

When it becomes necessary to ensure the security of members, 410Gallery, ARTDAG, or third parties

When it is difficult to provide member services due to communication line outages, natural disasters, fires, power outages, other unforeseen accidents, or force majeure such as war, conflict, unrest, riots, labor disputes, etc.

When ARTDAG reasonably determines that interruption is necessary in light of the circumstances regarding each member service

ARTDAG shall not be liable for damages incurred by members due to measures taken by ARTDAG in accordance with this article, except in cases where ARTDAG is at fault.

第１２条（保証の否認および免責）

1. 会員は、ARTDAGが会員サービスを通じて提供するインセンティブプログラム、コンテンツその他一切の情報について、①エラー、バグ、不具合またはセキュリティ上の欠陥が存在しないこと、②第三者の権利を侵害しないこと、会員が期待する性質を有することおよび会員に適用ある法令に適合的であることについて、ARTDAGがいかなる保証も行わないこと、ならびに、③会員サービスが会員サービス提供時における現状有姿において提供されることを理解し、これを承諾するものとし、自己の責任において会員サービスを利用するものとします。

2. ARTDAGは、会員のアカウントで利用できるサービスに関する内容の真偽、正確性、最新性、有用性、信頼性、適法性、および第三者の権利の不侵害について、本規約においていかなる保証も行わないものとします。

3. ARTDAGは、会員による会員サービスの利用に関連して、会員に対する責任を負う場合には、ARTDAGの故意または重大な過失による場合を除き、会員に現実に生じた通常かつ直接の範囲の損害に限り、これを賠償するものとし、特別な事情から生じた損害（損害の発生を予見し、または、予見し得た場合を含みます。）については、責任を負わないものとします。

Article 12 (Disclaimer of Warranty and Exemption from Liability)

Members understand and accept that ARTDAG does not guarantee that the incentive programs, content, and all other information provided by ARTDAG through the member service are ① free of errors, bugs, defects, or security defects, ② does not infringe on the rights of third parties, has the properties expected by members, and complies with laws and regulations applicable to members, and ③ the member service is provided as is at the time of providing the member service, and shall use the member service at their own risk.

ARTDAG does not guarantee anything in these terms and conditions about the authenticity, accuracy, recency, usefulness, reliability, legality, or non-infringement of third party rights of the content related to the service available through the member's account.

In the event that ARTDAG is liable to a member in relation to the member's use of the membership service, ARTDAG will only compensate for ordinary and direct damages actually incurred by the member, except in cases due to ARTDAG's willful misconduct or gross negligence, and will not be liable for damages arising from special circumstances (including cases where the occurrence of damages was foreseen or could have been foreseen).

第１３条（本規約の改定等）

1. ARTDAGは、本規約を任意にいつでも改定することができるものとし、本規約に追加の規定、条件等を定めることができます。この場合、ARTDAGは、その影響および会員サービスの運営状況などに照らし、適切な時期および適切な方法により、会員に情報提供を行うものとします。

2. ARTDAGは、会員サービスにかかる事業を第三者に譲渡し、または合併もしくは会社分割等により承継させ、本契約上の地位ならびに権利および義務を当該譲渡等の譲受人等に承継させることができるものとします。会員は、かかる譲渡等について、あらかじめ同意するものとします。

Article 13 (Revision of these Terms, etc.)

ARTDAG may revise these Terms at any time and may add additional provisions, conditions, etc. to these Terms. In this case, ARTDAG shall provide information to members at an appropriate time and in an appropriate manner, taking into account the impact and the operating status of the member service.

ARTDAG may transfer the business related to the member service to a third party, or have it succeeded through a merger or company split, etc., and may have the status, rights, and obligations under this Agreement succeeded to by the transferee, etc. of the transfer. Members shall consent to such transfer, etc. in advance.

第１４条（準拠法、合意管轄）

本規約は日本法に基づき解釈されるものとし、本規約に関し訴訟の必要が生じた場合には、東京地方裁判所または東京簡易裁判所を第一審の専属的合意管轄裁判所といたします。

Article 14 (Governing Law, Jurisdiction)

These terms and conditions shall be interpreted in accordance with the laws of Japan, and in the event of a lawsuit arising from these terms and conditions, the Tokyo District Court or the Tokyo Summary Court shall be the court of first instance with exclusive jurisdiction.
